Terms & Conditions

1. Scope of Services
Bangtao Studio (“Studio”) provides bespoke creative services including brand identity design,
web design and development, UX research, graphic design, and related strategic consultancy. All services
are delivered remotely unless otherwise agreed in writing.
A project commences only after written confirmation of a proposal and receipt of any required deposit as
outlined in the invoice. Verbal agreements do not constitute a contractual obligation.
2. Intellectual Property & Ownership
Upon receipt of full and final payment, the Client receives full ownership of final approved
deliverables, including source files where specified in the project scope.
All working files, concepts not selected for delivery, preliminary drafts, and internal tooling remain
the exclusive intellectual property of Bangtao Studio. The Studio reserves the right to display completed
work in its portfolio and marketing materials unless a written confidentiality agreement is in place.
The Client warrants that all content, images, or materials supplied for use in the project are owned by
or properly licensed to the Client, and that their use does not infringe any third-party rights.
3. Client Responsibilities
The Client is responsible for:
- Providing accurate and complete briefs, brand assets, and reference materials in a timely manner.
- Designated a single point of contact with authority to approve decisions and feedback.
- Reviewing and approving deliverables within the timeframes specified in the project schedule.
- Ensuring all content and materials supplied do not infringe any applicable laws or third-party rights.
Delays caused by late feedback, missing assets, or unclear briefs may result in revised timelines and
additional charges. The Studio will communicate any such adjustments in writing prior to proceeding.
4. Revisions & Amendments
Each project proposal specifies the number of included revision rounds. Revisions are defined as
reasonable modifications within the original agreed scope. Requests that constitute a change in direction,
expanded scope, or a new concept are treated as additional work and will be quoted separately.
Once a deliverable has been approved by the Client in writing, further changes will be subject to
additional fees. Bangtao Studio reserves the right to decline revision requests that conflict with
established design principles or the agreed creative brief.
5. Payment Terms
All prices are quoted in the currency specified on the invoice and are exclusive of applicable taxes
unless stated otherwise. Payment terms are as follows:
- A non-refundable deposit of 50% is required before any work commences.
- The remaining balance is due prior to delivery of final files or website launch.
- For ongoing retainer arrangements, invoices are issued monthly and are due within 14 calendar days of
issue.
Late payments beyond 14 days of the due date may incur a late fee of 1.5% per month on the outstanding
balance. The Studio reserves the right to pause work on any project where payment is overdue.
6. Delivery Timelines
Estimated delivery timelines are provided in good faith and are contingent on the Client supplying all
required materials and feedback on schedule. The Studio is not liable for delays arising from late client
responses, third-party dependencies, force majeure events, or changes in project scope.
Timelines will be communicated via the project management channel agreed upon at project initiation. Any
agreed deadlines that require expedited delivery may be subject to rush fees.
7. Cancellation Policy
Either party may terminate a project by providing written notice. In the event of cancellation:
- The initial deposit is non-refundable under all circumstances.
- Work completed up to the date of cancellation will be invoiced at the Studio’s standard hourly
rate, with any amount exceeding the deposit billed to the Client.
- Partially completed work and interim files will not be transferred until all outstanding balances are
settled.
Bangtao Studio reserves the right to terminate an engagement immediately if the Client engages in abusive
conduct, requests unlawful content, or materially breaches these Terms.
8. Limitation of Liability
Bangtao Studio’s total liability to the Client under any project engagement shall not exceed the
total fees paid by the Client for that specific project. In no event shall the Studio be liable for
indirect, incidental, or consequential damages, including loss of revenue, data, or business
opportunities, arising from the use or inability to use delivered work.
The Studio does not guarantee specific business outcomes, search engine rankings, or commercial results
from design or development work delivered.
9. Communication
All project communication must be conducted through agreed channels (email, project management platform,
or video call). Verbal or informal instructions communicated outside these channels are not binding on the
Studio.
The Studio aims to respond to all client communications within two business days (Monday–Friday, GMT+7).
Response times during Thai public holidays may be extended.
10. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of
Thailand. Any disputes arising in connection with these Terms shall be subject to the exclusive
jurisdiction of the courts of Phuket Province, Thailand.
